What can you expect in a “VP, Assistant Corporate Secretary” role with TaskUs: 

You can expect to have a crucial responsibility in leading the legal and governance framework for TaskUs. Your priority is to advise the leadership team and Board of Directors on corporate governance, SEC reporting, and shareholder matters. Working closely with senior management and internal teams to manage legal entities, execute M&A activities, and ensure compliance with all securities and corporate regulations.

You will be expected to think and act both strategically and tactically in support of the Company, providing business-focused advice with respect to our key initiatives, including filings with the SEC, mergers, acquisitions, financing agreements, expansion strategy, corporate development and corporate governance efforts. Equally important, the role requires the ability to build and maintain partnerships with key stakeholders in the Company to effectively represent the Legal Department. You will demonstrate strong analytical skills and an ability to problem solve and think creatively, and you must be attuned to working with a sense of urgency and accountability. You will demonstrate leadership, take criticism positively, and seek process improvement

Main Responsibilities:

  • Assist in the preparation, review and filing of SEC filings and related documents, including current and periodic reports (10-K/10-Q), proxy statements, registration statements, Section 16 filings, and other securities law filings;
  • Assist in drafting and reviewing other disclosures and corporate communications, including earnings releases, press releases, investor presentations and internal communications; 
  • Support our internal disclosure controls functions;
  • Support the legal aspects of our equity program administration, including overseeing of 10b5-1 plans, evaluating preclearance for restricted persons and ensuring securities trading policy compliance;
  • Support all aspects of corporate governance functions including reporting to the Board of Directors, setting agendas, taking minutes, and assisting in the preparation of Board materials; 
  • Partner across the business with executives and corporate development personnel as a trusted advisor to manage all stages of mergers, acquisitions, joint ventures, and other strategic business opportunities, lead due diligence, draft and negotiate term sheets and transaction documents, manage corporate governance aspects, and support post-closing integration efforts;
  • Work with senior TaskUs management on expansion into international markets, identifying country-specific risks, and partner with the Finance Team to negotiate credit agreements and similar complex contracts;
  • Manage outside counsel and ensure outside counsel is tracking to budget; 
  • Research, monitor and analyze relevant laws and regulations and advise relevant management of such developments; and
  • Perform other duties as assigned/required. 

Qualifications:

  • Bar admission or equivalent and in good standing to practice law in your relevant jurisdiction;
  • 5+ years of experience supporting SEC filings, corporate governance, M&A and related transactions;
  • Experience managing a team, preferably across different geographies; 
  • Extensive experience with publicly traded companies, corporate governance and corporate entity matters;
  • Experience sizing up acquisition targets, negotiating key items, and closing transactions in multiple geographies; and 
  • Excellent and professional command of the English language in a written and verbal capacity.

This position will be fully remote and report to the General Counsel. The role will support teams in the US, Asia and Europe and will be expected to visit TaskUs’ global sites from time to time. Must be able to work or be available at unconventional hours or on the weekends to support global team objectives and meet urgent business needs.
